Clear rules for a clear service.

By creating a Intenio account or using any part of the service, you agree to be bound by these Terms of Service ("Terms"). If you are using Intenio on behalf of an organisation, you represent that you have authority to bind that organisation.

These Terms apply to all users, including trial accounts, free-tier accounts, and paid subscribers.

Intenio is a proposal management platform that lets you create, send, and track business proposals; collect legally binding digital signatures; and receive payments via Stripe. The service includes:

• Proposal builder with document upload (PDF, DOCX) and structured editing. • Secure Magic Links for client review — no client login required. • SPARX engagement analytics (section dwell, scroll depth, open tracking). • AI-assisted drafting and follow-up coaching (via Anthropic and Google Gemini). • ESIGN-compliant e-signature capture with a full audit trail. • Stripe-powered payment collection tied to accepted proposals. • Google Drive integration for certificate storage (optional).

Features available vary by plan. We may modify the service at any time; material reductions in features for paid subscribers will be communicated in advance.

You are responsible for keeping your login credentials secure. You may not share accounts or allow access to persons outside your organisation.

You must be 18 or older to create an account. You agree to provide accurate information during registration and to keep it current.

We may suspend or terminate accounts that violate these Terms, engage in abuse, or remain inactive for 24+ consecutive months on a free plan.

You may use Intenio only for lawful business purposes. You must not:

• Use the service to send spam, phishing content, or unsolicited commercial messages. • Attempt to bypass rate limits, authentication, or row-level security controls. • Reverse engineer, decompile, or create derivative works from Intenio's source code. • Upload proposals containing malware, illegal content, or material that infringes third-party intellectual property rights. • Impersonate another person or misrepresent your authority to enter into agreements on behalf of a client. • Use the service for consumer loan agreements, securities offerings, or other contexts that require specialist regulated e-signature compliance beyond ESIGN/UETA.

We reserve the right to remove content or suspend accounts that violate these rules without prior notice.

Paid plans are billed monthly or annually via Stripe. You authorise us to charge the payment method on file at the start of each billing period.

Free trials, if offered, convert automatically to a paid plan at the end of the trial unless you cancel beforehand.

Refunds are available within 7 days of the start of a new subscription period if you have not used the service during that period. Requests outside that window are evaluated on a case-by-case basis. To request a refund, email billing@intenio.io.

We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new price.

You retain all rights to the proposal content, client data, and documents you upload or create. You grant Intenio a limited, non-exclusive licence to store, process, and display your content solely to deliver the service.

Intenio's platform, branding, code, and documentation are owned by Cr3ativeSparx. Nothing in these Terms transfers any intellectual property rights to you beyond the right to use the service as described.

AI-generated drafts are provided as-is. You are responsible for reviewing and editing them before sending. We do not warrant that AI-generated content is accurate, complete, or legally sufficient.

Intenio's signature feature is intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA), and with the EU's eIDAS Regulation for simple electronic signatures.

You are responsible for ensuring that the signature method you use satisfies any requirements specific to your jurisdiction, contract type, or regulated industry. Intenio does not provide legal advice.

The audit trail (signer name, timestamp, IP address, SHA-256 document hash) is stored and surfaced to you as evidence of execution. Intenio is not a party to any agreement signed through the platform.

Payment collection is processed by Stripe. When a client pays through a Intenio link, the payment routes to your connected Stripe account via Stripe Connect. Intenio may collect a platform fee as described on the pricing page.

Intenio is not responsible for failed, disputed, or fraudulent payments. Stripe's terms govern all payment processing disputes.

Our collection and use of personal data is described in the Privacy Policy at intenio.io/privacy. By using the service you consent to that policy.

You are the data controller for your clients' personal data processed through Intenio. You are responsible for having a lawful basis to collect and process that data, including a valid basis to send Magic Links to clients' email addresses.

We target 99.5% monthly uptime for paid plans but do not guarantee it. Scheduled maintenance will be announced when possible. We are not liable for losses resulting from service interruptions.

To the maximum extent permitted by applicable law, Intenio's total liability arising from these Terms or use of the service shall not exceed the amount you paid in the 12 months preceding the claim.

In no event shall Intenio be liable for indirect, incidental, consequential, or punitive damages — including lost revenue, lost contracts, or data loss — even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be error-free, uninterrupted, or free of harmful components.

You may cancel your account at any time from the Settings page. Cancellation takes effect at the end of the current billing period.

We may terminate your account immediately for material breach of these Terms, illegal use, or non-payment after a 7-day cure period.

On termination, your right to use the service ceases. Proposal and client data will be retained for 30 days after termination, after which it will be deleted.

We may update these Terms at any time. For material changes, we will email subscribers at least 14 days before the change takes effect. Continued use of the service after the effective date constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which Cr3ativeSparx is incorporated, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration or, where arbitration is not available, in the courts of that jurisdiction.
